Please read these Terms of Service ("Terms") before using Qopeen.com (referred to as "the Service" or "Qopeen"). These Terms govern your use of the Service provided by Qopeen for accessing and utilizing the crowdfunding platform. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.
- Description of the Service
Qopeen.com is a crowdfunding platform that enables individuals to raise funds for basic needs through anonymous donations. Qopeen has chosen to use Target.com to facilitate the crowdfunding process. The Service allows donors to contribute anonymously, respecting the privacy of both donors and recipients.
- Eligibility
By accessing or using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
- User Accounts and Anonymity
3.1 Account Creation
To access certain features of the Service, you may need to create a user account ("Account"). When creating an Account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your Account login credentials and for all activities that occur under your Account. Qopeen reserves the right to refuse or terminate Account registration at its sole discretion.
3.2 Anonymous Donations
As a core value of Qopeen, donors have the option to contribute anonymously. Qopeen respects the privacy of donors and recipients and does not disclose the identity of donors unless required by law.
- Donations and Use of Funds
4.1 Donation Process
Qopeen provides a platform for users to make donations to support campaigns. By making a donation, you agree to provide accurate and complete information and to use a valid payment method. All donations made through Qopeen are final and non-refundable.
4.2 Use of Donations
Qopeen will utilize the donations received through the platform to support the campaigns as described on the website. Qopeen reserves the right to use the donations in the most effective way possible to fulfill the intended purpose. Regular updates regarding the use of donations will be provided on the Qopeen platform.
- Partnered Services
Qopeen has partnered with Target to facilitate the crowdfunding process. While Qopeen strives to provide a seamless user experience, please note that certain services, features, or transactions may be subject to Target's terms and conditions. By using the Service, you acknowledge and agree to comply with any additional terms imposed by Target.
- Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Qopeen and its licensors. The Service is protected by copyright, trademark, and other laws. You may not use Qopeen's trademarks or trade dress without the prior written consent of Qopeen.
- Limitation of Liability
To the maximum extent permitted by law, Qopeen and its partners shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses resulting from your use of the Service or inability to access or use the Service.
- Indemnification
You agree to indemnify and hold harmless Qopeen and its partners from any claims, demands, damages, liabilities, and expenses (including attorney's fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
- Modifications to the Terms
Qopeen reserves the right to modify or replace these Terms at any time. Any material changes will be notified through the Service or by other means of communication. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
- Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Country ; United States of America.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Country; United States of America.
11. Purpose Clause:
The purpose of Qopeen shall include creating a material positive impact on society and the environment, taken as a whole, from the business and operations of Qopeen.
12. Directors Clause:
a) In discharging the duties of their positions and in considering the best interests of Qopeen, a [manager] [managing member] shall consider the effects of any action or inaction on:
i) the members of Qopeen;
ii) the employees and workforce of Qopeen, its subsidiaries, and its suppliers;
iii) the interests of its customers as beneficiaries of the purpose of Qopeen to have a material positive impact on society and the environment;
iv) community and societal factors, including those of each community in which offices or facilities of Qopeen, its subsidiaries, or its suppliers are located;
v) the local and global environment;
vi) the short-term and long-term interests of Qopeen, including benefits that may accrue to Qopeen from its long-term plans and the possibility that these interests may be best served by the continued independence of Qopeen; and
vii) the ability of Qopeen to create a material positive impact on society and the environment, taken as a whole.
b) In discharging the duties of a [manager] [managing member], and in determining what is in the best interests of Qopeen and its members, a [manager] [managing member] shall not be required to regard any interest, or the interests of any particular group affected by an action or inaction, including the members, as a dominant or controlling interest or factor. A [manager] [managing member] shall not be personally liable for monetary damages for: (i) any action or inaction in the course of performing the duties of a [manager] [managing member] under this paragraph if the [manager] [managing member] was not interested with respect to the action or inaction; or (ii) failure of Qopeen to create a material positive impact on society and the environment, taken as a whole.
c) A [manager] [managing member] does not have a duty to any person other than a member in its capacity as a member with respect to the purpose of Qopeen or the obligations set forth in this Article, and nothing in this Article express or implied, is intended to create or shall create or grant any right in or for any person other than a member or any cause of action by or for any person other than a member or Qopeen.
d) Notwithstanding anything set forth herein, a [manager] [managing member] is entitled to rely on the provisions regarding ""best interests"" set forth above in enforcing the rights of a [manager] [managing member] hereunder and under state law, and such reliance shall not, absent another breach, be construed as a breach of a [manager’s] [managing member's] duty of care, even in the context of a Change in Control Transaction where, as a result of weighing the interests set forth in subsection (a)(i)-(vii) above, a managing member determines to accept an offer, between two competing offers, with a lower price per unit.
e) A [manager] [managing member] who makes a business judgment in good faith fulfills the duty under this section if the [manager] [managing member]: (i) is not interested in the subject of the business judgment; (ii) is informed with respect to the subject of the business judgment to the extent the director reasonably believes to be appropriate under the circumstances; and (iii) rationally believes that the business judgment is in the best interests of Qopeen.
